Rabbiit Terms of Use

These are the terms of service ("Terms" or "Agreement") that will govern the relationship between RABBIIT SOFTWARE LTDA ("Rabbiit", "we" or "Us"), a private legal entity registered under CNPJ no. 20.235.075/0001-69, with its head office at Rua José Rodriguês Pinheiro, nº 924, Curitiba, Paraná, Brazil, and its individual or legal entity users ("User" or "Client"). We will provide services and products ("Services") and by using our Services you automatically and fully agree to these Terms. Please read them carefully.

1. Intellectual property

You may use our Services in accordance with these Terms, but using our Services does not grant you any intellectual property rights over our Services. Our trademark, logo, source code, design, reports, and any elements that characterize our Services are our property and must not be used by you in any way unless you obtain our written permission. Your comments and suggestions are very welcome and may lead to innovations or implementations that may be incorporated into our Services, but this will not give you any rights over them, even if you have paid for the implementation of such suggestions. You do not have and will not have any ownership, title, or direct or indirect interest in Rabbiit.

2. Software license

Rabbiit grants you a temporary, non-exclusive, non-transferable, and revocable license to use the software provided by Rabbiit as part of the Services. This license is solely intended to allow you to use and benefit from the Services as provided by Rabbiit, in the manner permitted by these terms. You may not copy, modify, distribute, sell, or rent any part of our Services or the included software, nor may you reverse engineer or attempt to extract the source code of such software, except where legislation prohibits such restrictions, or when you have our written permission.

3. Your data

3.1. Data ownership: Our Services allow you to enter and store data; this data is yours and you are responsible for it. Rabbiit is not responsible for your data nor will it have any intellectual property rights over it.

3.2. Processing license: The Client acknowledges that when you enter or store data using our Services you grant Rabbiit a license to access, host, store, process, modify, and back up such data, directly or through trusted third parties.

3.3. Purpose of use: The rights you grant under this license are for the limited purposes of operating, improving our Services, and developing new Services.

4. Confidentiality

4.1. Confidentiality commitment: Rabbiit undertakes to protect the confidentiality of the Client's Confidential Information with the same degree of care it uses to protect its own information, but in no case with less than commercially reasonable care. Rabbiit agrees not to disclose, reveal, or publish such information to third parties without prior authorization, and not to use any confidential information for purposes outside the scope of these Terms or that exceed the rights permitted herein.

4.2. Limited access and NDAs: Rabbiit will limit access to Confidential Information only to its employees, contractors, and infrastructure agents who need such access to perform the service. Rabbiit ensures that such parties have signed confidentiality agreements (NDAs) with a minimum term of 5 (five) years after such persons leave, containing protections no less stringent than those provided herein.

4.3. Exceptions and limitation of burden: This commitment does not apply to information in the public domain, required by court order, or accessed by third parties due to the User's poor credential management. In accordance with the "Limited Warranties" section, Rabbiit does not assume financial burden or penalties for accidental security incidents, limiting itself to employing best efforts to protect.

4.4. Term of confidentiality: Rabbiit's duty of confidentiality regarding the Client's data will remain in effect while the information is maintained in our systems and will remain in effect after the end of this agreement for an indefinite period, as long as such information is not in the public domain.

5. Publicity

From the moment you create your account on Rabbiit, you allow us to use your name, your company name, and logo for the purpose of promoting our Services through our online channels or communication with third parties, and you also agree that we may mention you as our client. If you send comments or suggestions about our Services, we may use your comments or suggestions for advertising.

6. Your responsibilities and restrictions

We will continue to improve our Services, but to keep them running properly you must understand and follow some policies.

6.1. Use policies: Misuse of our Services is not permitted and you may use our services only as permitted by law. Therefore you must not interfere with our Services, perform reverse engineering, attempt to access our Services by any method other than the interface and instructions we provide. You must also not modify the software or merge any parts of our products with other software, translate, remove, or alter copyright, trademark, or other proprietary notices, copy code, screens, or any parts of the software, or rent, lease, resell, assign, or transfer your license.

6.2. Penalties: We may suspend or cease providing our Services if you fail to comply with our terms or policies or if we are investigating suspected misconduct.

6.3. Technical responsibility: Your responsibility also includes maintaining qualified personnel for access to and use of the software and other resources necessary to communicate with our Services.

7. Rabbiit's obligations

Rabbiit offers easy-to-use Services, but if you need help we will always be available to provide clarification on any matters related to our Services.

7.1. Technical support: Support will be provided via email at suporte@rabbiit.com during business hours from 9:00 AM to 12:00 PM and 2:00 PM to 6:00 PM (Brasília time, GMT -3). We will respond as soon as possible or within a maximum of 24 hours.

7.2. Availability and maintenance: We will make commercially reasonable efforts to keep our Services available and functioning regularly. In the event of occasional errors due to programming failures or interruption, Rabbiit undertakes to take appropriate measures to resolve them as soon as possible. We may also make constant improvements and make them available to Users, or suspend access in case of violation of these Terms.

7.3. Security and confidentiality: Rabbiit has implemented and will maintain procedures to ensure the security of Client information, protecting against possible threats, risks to integrity or unauthorized access, and will keep Client confidential information in absolute secrecy.

8. Our plans

Our plans are fully flexible; you may switch to a lower or higher plan at any time. They are prepaid, and you will pay before each period to use our Services, so you know exactly how much you will pay. See our plans and prices at www.rabbiit.com/precos.

9. Billing

9.1. Billing and payment methods: If you choose a paid plan ("Upgrade"), billing will occur in advance via credit card or bank slip, as per the options provided by our integrated payment partner in the interface. When upgrading to a higher plan, we will bill immediately the proportional difference for the remaining days of the current cycle.

9.2. Downgrade to a lower paid plan: If you choose a paid plan of lower value than your current plan, the change of features to the new plan will be immediate. The proportional value for the unused days of the previous plan will be converted into credit, which will be automatically applied to offset the amount of the next invoices for the new plan.

9.3. Downgrade to free plan: If you choose the Free plan, your current paid plan will remain available until the end of the already contracted period. Only after this cycle ends will the account be downgraded to the Free plan, with no refund of any remaining credits in the account.

9.4. Plan maintenance and adjustment: We emphasize that the active and available plan generates charges regardless of effective use of the software; to stop them, the user must cancel via the system. Licensing fees will be updated annually, or within the shortest period permitted by law, by the accumulated variation of the IGPM-FGV or, upon its extinction, by another official substitute index.

10. Canceling our Services

10.1. Right to cancel and refund: You may cancel your paid plan on Rabbiit at any time via the system, and may return to the Free plan if it is available and meets your needs. Because this is a prepaid service, there will be no refund under any circumstances, even when the system is not used, except in cases provided by law.

10.2. Effect of cancellation and inactivity: After requesting cancellation, the plan will remain active until the end of the already contracted period, and only after that time will it be downgraded to the Free plan, ceasing new charges on the credit card. When downgrading, your data will remain in the system for use of basic features and you may re-subscribe to a paid plan at any time; however, if the account is on the Free plan and has been inactive for more than 12 months, it and all its data will be automatically deleted from our system.

11. Limited warranties

We do our best to offer our Services with quality, thus providing an excellent experience in using the Services, and we hope you enjoy using them. But there are some things we do not promise about our Services.

To the extent permitted by law, neither Rabbiit nor its affiliates or distributors offer any warranties regarding the Services. We are not responsible for the content in the Services, for specific features of the Services, or for the reliability, confidentiality, availability, or ability to meet your needs. We provide the Services "as is" with all faults and without warranty of any kind. Rabbiit does not warrant that the functions contained in the software will meet your needs, that the operation of the software will be uninterrupted or error-free, that any service will continue to be available, that defects in the software will be corrected, or that the software will be compatible with or work with any third-party software, applications, or services.

12. Limitation of liability

To the extent permitted by law, Rabbiit, its affiliates, or distributors shall not be liable for loss of profits, loss of revenue, corruption or loss of data, failure to transmit or receive data, financial losses, or for indirect, special, incidental, consequential, exemplary, punitive, or any other commercial damage or loss. Under no circumstances shall Rabbiit's and its affiliates' or distributors' total liability for all damages exceed the amount you paid to Rabbiit to use the Services.

13. About these Terms

These Terms govern the relationship between Rabbiit and you. They do not create any rights for third parties.

We may modify these Terms and you should check the terms regularly. We will post notices of modifications to these terms on this page, and if any modification significantly reduces your rights we will also notify you via the email registered in your Rabbiit account. If you do not agree with the modified terms of a Service, you must discontinue use of that Service. If you continue to use our Services after a revision takes effect, it is understood that you agree to the revised Terms.

If you do not comply with these terms and we do not take immediate action, this does not mean that we are waiving any rights we may have (such as taking action in the future).

If a specific condition of these terms is not enforceable, this will not affect any other terms.

14. Governing law and jurisdiction

These Terms shall be governed by, construed, and subject to Brazilian law and, in case of default of the obligations contracted herein, the Central Court of the City of Curitiba, State of Paraná, Brazil, is irrevocably and irrevocably elected to resolve any controversy arising from these Terms, with waiver of any other, however privileged it may be.
